Modern Craft Remodel LLC – Terms of Service

These Terms of Service (“Terms”) govern all services provided by Modern Craft Remodel LLC (“Modern Craft,” “we,” “our,” or “us”) to the customer, property owner, or authorized agent (“Client,” “you,” or “your”). By accepting an estimate, submitting payment, authorizing work, or allowing work to commence, Client agrees to be bound by these Terms.
1. Scope of Services
1.1. Modern Craft Remodel LLC provides residential renovation, remodeling, and construction services as described in the written estimate, proposal, or contract (“Project Documents”).
1.2. The scope of work is limited strictly to the items expressly stated in the Project Documents. Any work not specifically listed is excluded.
1.3. Changes to scope, materials, layout, sequencing, or design require a written change order approved by both parties prior to execution and may result in additional charges and schedule adjustments.
1.4. Client agrees not to direct, instruct, interfere with, or engage subcontractors independently. Unauthorized instructions or interference may result in additional charges, rework fees, schedule delays, or project termination.
2. Estimates and Pricing
2.1. Estimates are based on information available at the time of preparation and reflect labor, materials, and known conditions. Estimates are not fixed-price contracts unless expressly stated in writing.
2.2. Prices are subject to adjustment due to material cost fluctuations, supply availability, or unforeseen site conditions. Any material change will be communicated and approved in writing prior to proceeding.
2.3. Modern Craft reserves the right to correct clerical errors, omissions, or miscalculations in estimates at any time.
3. Deposits and Payment Terms
3.1. A deposit is required to secure scheduling and cover preliminary costs. Deposit amounts and payment schedules are defined in the Project Documents.
3.2. Final payment is due immediately upon substantial completion. Submission of final payment without written objection constitutes acceptance of the work, subject only to valid workmanship warranty claims.
3.3. Invoices unpaid after ten (10) business days are subject to a late fee of 1.5% per month (18% annually) or the maximum permitted by Texas law.
3.4. Partial payments acknowledge work completed to date and do not waive outstanding balances.
4. Project Schedule and Delays
4.1. Project start dates will be communicated in writing, verbally, or electronically once the project is officially scheduled.
4.2. Completion dates are estimates only unless expressly guaranteed in writing. Delays do not constitute breach.
4.3. Modern Craft is not responsible for delays caused by weather, inspections, material shortages, supply chain disruptions, labor availability, utilities, third-party vendors, Client decisions, or force majeure events.
5. Permits, Inspections, and Code Compliance
5.1. Permits and inspections are not included unless expressly stated in writing.
5.2. Modern Craft may obtain required permits at Client’s request for an additional charge covering time, labor, and fees.
5.3. Client is responsible for permit fees, re-inspection fees, and delays caused by governing authorities unless directly attributable to Modern Craft’s workmanship.
5.4. Work is performed to applicable building codes in effect at the time of construction. Pre-existing violations or concealed defects are excluded.
6. Property Eligibility and Authorization
6.1. Client represents that they are the legal owner of the property or have written authorization from the owner to approve work and payment.
6.2. Services are limited to owner-occupied properties, condos, duplexes, and townhomes. Rental properties require written owner authorization.
6.3. Apartment complexes or properties lacking owner approval are excluded from service.
7. Material Handling and Non-Returnable Items
7.1. Certain materials are non-returnable, including custom orders, altered materials, opened coatings, specialty plumbing or electrical components, and hazardous materials.
7.2. Non-returnable materials purchased for a project are billed to the Client and are not refundable upon cancellation. Such materials will be delivered to the property within thirty (30) days of cancellation.
8. Customer-Supplied Materials
8.1. Client-supplied materials are discouraged. If accepted, materials must meet quality standards and be delivered in full prior to the scheduled start date.
8.2. Modern Craft is not responsible for defects, delays, incompatibility, shortages, or failures related to client-supplied materials.
8.3. Delays caused by unavailable or unsuitable materials will incur a service delay fee of $175.00 per hour.
8.4. Work involving client-supplied materials is excluded from workmanship warranty coverage for affected areas.
9. Hourly Charges Upon Cancellation
9.1. Labor performed prior to cancellation will be billed at $275.00 per hour.
9.2. Charges are capped at the remaining contract balance. Materials and approved change orders are billed separately.
10. Termination by Modern Craft Remodel LLC
10.1. Modern Craft may terminate the project for non-payment, unsafe conditions, interference, restricted access, communication failure, or excessive delays caused by Client.
10.2. Upon termination, Client remains responsible for all incurred labor, materials, and fees.
11. Right to Cure and Warranty
11.1. Modern Craft provides a one (1) year workmanship warranty from the date of substantial completion.
11.2. Client must provide written notice and reasonable access to allow Modern Craft the exclusive right to inspect and remedy alleged defects.
11.3. Unauthorized third-party repairs, backcharges, or payment deductions void warranty coverage.
11.4. Warranty excludes cosmetic preferences, normal wear, natural material variation, hairline cracking, settling, and client-supplied materials.
12. Site Conditions and Property Impact
12.1. Construction may generate dust, noise, vibration, and temporary disruption.
12.2. Modern Craft is not responsible for concealed conditions, undocumented pre-existing damage, or structural issues discovered during demolition.
12.3. Discovery of hidden conditions may require a change order.
13. Communication and Notices
13.1. Formal notices may be delivered via email or confirmed text message from Modern Craft’s business number.
14. Dispute Resolution
14.1. Disputes shall proceed as follows:
Written notice and right to cure
Good faith negotiation
Binding arbitration under AAA Commercial Arbitration Rules in Texas
14.2. Mechanic’s lien enforcement, collections, and injunctive relief are excluded from arbitration.
14.3. Prevailing party in payment enforcement may recover reasonable attorney fees.
15. Governing Law
15.1. These Terms are governed by the laws of the State of Texas.
16. Mechanic’s Lien Rights
16.1. Modern Craft retains all mechanic’s lien rights under Chapter 53 of the Texas Property Code. All statutory notice requirements will be followed.
17. Media Release and Marketing Use
17.1. Client grants Modern Craft the irrevocable right to photograph and record the project for marketing, advertising, and portfolio use.
17.2. Clients wishing to opt out must submit written notice prior to project commencement.
18. Entire Agreement and Severability
18.1. These Terms constitute the entire agreement and supersede prior communications.
18.2. If any provision is held unenforceable, the remaining provisions remain in effect.
